Terms of Service
Welcome to pandō. Like you, we believe in clear, explicit contracts. This document is our Terms of Service—the rules for using our software. It's written to be understood, not to obscure. By using our software and services ("the Service"), you agree to these Terms.
This agreement is between you and human.software ("we," "us," or "the Company"), the maker of pandō.
1. License to Use pandō
Two License Tiers
We offer two tiers. Every pandō tool is available on both tiers. Using a license in a manner not permitted is a violation of these Terms.
Personal Tier (Free)
We grant you a non-exclusive, non-transferable license to use pandō for free. The Personal tier is strictly for non-commercial use, including:
- Personal projects not intended for commercial gain.
- Educational use in an academic setting.
- Contributions to bona fide open-source projects.
The Personal tier provides access to every pandō tool without limits. A "Personal Use" indicator is displayed in the VS Code status bar. Any work that is funded by, performed for, or intended to be contributed to a for-profit company or commercial entity requires an Organization license.
Organization Tier ($999/year/dev)
A paid Organization license is required for any professional or commercial use. This includes, but is not limited to:
- Writing or refactoring code for a company's internal systems or products.
- Work performed as a contractor or consultant for a for-profit entity.
- Any use intended to generate revenue for a business.
The Organization tier includes the same tools as Personal, removes the "Personal Use" indicator, and licenses pandō for commercial work.
7-Day Organization Trial
When you sign in for the first time, your account automatically receives 7 days of Organization-tier access at no cost and with no credit card required. During the trial, all features are available and the "Personal Use" indicator is not shown. At the end of the trial, your account reverts to the Personal tier unless you upgrade to Organization.
2. Intellectual Property and Ownership
We Own pandō: We retain all rights, title, and interest in the Service itself, including the software, our brand, and our website. This is a license to use our tool, not to own it.
You Own Your Code: You retain all rights, title, and interest in your own code and any transformations of it created using pandō. We claim absolutely no ownership or intellectual property rights over your work.
3. Restrictions on Use
Your right to use pandō is conditioned on your agreement not to:
- Reverse engineer, decompile, or disassemble the software, except to the extent that applicable law expressly permits it.
- Resell, sublicense, or otherwise transfer your license.
- Use the Service to develop a competing product.
- Remove or obscure any proprietary notices.
4. Third-Party AI Services
- pandō allows you to optionally connect to third-party AI service providers (e.g., OpenAI, Anthropic) using your own API keys.
- When you use these features, your data is sent to that third party. Your use is subject to the terms and privacy policies of that provider.
- We are not responsible for the practices of any third-party service.
5. Fees and Payment
For Organization licenses, you agree to pay all applicable fees as described on our pricing page or in a separate enterprise agreement between you and human.software. All payments are processed by our third-party payment processor (Stripe) and are subject to their terms.
Refunds. If you cancel your Organization subscription before the end of a billing period, you will receive a prorated refund for the unused portion of that period, calculated as (whole days remaining ÷ total days in period) × amount paid, where “whole days remaining” is the number of complete 24-hour periods between the cancellation time (UTC) and the end of the billing period. If fewer than 24 hours remain in the billing period, no refund is issued. Refunds are issued to the original payment method and typically arrive within 5–10 business days. One-time token top-up purchases are non-refundable.
6. Disclaimer of Warranties
The Service is provided "as is," without any warranties of any kind. We do not warrant that the Service will be error-free or that it will meet all of your requirements.
7. Limitation of Liability
To the fullest extent permitted by law, in no event will human.software be liable for any lost profits, revenue, or data, or for any indirect, special, or consequential damages. Our total liability to you will not exceed the amount you paid for the Service in the 12 months preceding the event that gave rise to the claim.
8. Indemnification
You agree to indemnify and hold harmless human.software and its employees from and against any claims, damages, liabilities, and expenses arising out of your use of the Service in violation of these Terms or in violation of any applicable law or third-party right.
9. Termination
We reserve the right to terminate your license if you violate these Terms. You can terminate this agreement at any time by ceasing all use of the Service and uninstalling the pandō VS Code extension. If you hold an Organization license, you may cancel your subscription at any time; your account will immediately revert to the Personal tier and you will receive a prorated refund for the unused portion of the current billing period (see Section 5).
10. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.
11. Entire Agreement
These Terms constitute the entire agreement between you and human.software regarding your use of the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.
12. Governing Law
This agreement will be governed by and construed in accordance with the laws of the State of California and the United States, without regard to conflict of law provisions.
13. Changes to These Terms
We may update these Terms from time to time. For any material change, we will (a) email the address associated with your account or most recent purchase, and (b) post a banner notification within the application at least 14 days before the new terms take effect. The "Effective Date" at the top of this page always reflects the most recent revision.
